Platform access, account responsibilities, and service rules.

Terms of Service Effective Date: April 16, 2026 These Terms of Service (“Terms”) are a legally binding agreement between you and Pedestal Studio Inc. (“Pedestal Studio,” “Pedestal,” “we,” “us,” or “our”) governing your access to and use of the Pedestal Studio website, applications, creator pages, storefronts, messaging tools, subscriptions, community features, commission tools, payment-enabled services, marketplace features, uploads, and related services (collectively, the “Services”). By accessing or using the Services, creating an account, listing content, making a purchase, subscribing to a creator, requesting a commission, sending a message through the platform, or otherwise using any part of the Services, you agree to these Terms. If you do not agree, do not use the Services. These Terms incorporate by reference our Acceptable Use Policy, Privacy Policy, Refund Policy, and Payment Processing Policy, each of which may be updated from time to time. 1. Eligibility You may use the Services only if you are legally able to enter into a binding agreement and are not barred from using the Services under applicable law. You may not use the Services if: - you are subject to applicable sanctions or trade restrictions; - your account has been suspended or terminated by Pedestal; - your use would violate these Terms, our policies, or applicable law. If you use the Services on behalf of a business or other entity, you represent and warrant that you have authority to bind that entity to these Terms. 3. Accounts You may be required to create an account to access certain features of the Services. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for: - maintaining the confidentiality of your login credentials; - all activity occurring under your account; - ensuring that your account information remains accurate; - immediately notifying us of any unauthorized use or suspected compromise. You may not impersonate another person or entity, create accounts using false identity information, or create replacement accounts to evade restrictions, moderation, holds, or termination. We may require identity verification, age verification, tax information, or other compliance information before allowing access to certain monetization or payout features. 4. Description of the Services Pedestal Studio provides tools that allow creators to build public profiles, storefronts, subscriptions, commission offerings, digital products, physical product listings, and related social and marketplace experiences. Except where expressly stated otherwise, Pedestal provides the platform and related tools only. Pedestal is not the creator, buyer, seller, shipper, manufacturer, licensor, or insurer of user-listed goods or services. We may modify, suspend, remove, limit, or discontinue any feature of the Services at any time, with or without notice. 5. Marketplace Role and User Responsibilities Creators are solely responsible for: - their listings, content, subscriptions, commissions, products, services, storefront activity, and communications; - making sure they have all rights, permissions, releases, and licenses needed for their content and offerings; - accurate descriptions, pricing, fulfillment, shipping, delivery terms, and legal compliance. Buyers and subscribers are solely responsible for: - reviewing listings and creator terms before purchasing; - providing accurate payment and delivery information; - using purchased content only as authorized by the creator and the platform; - complying with these Terms and applicable law. Pedestal may, but is not obligated to, review listings, transactions, messages, creators, buyers, or subscriber activity for compliance, fraud, trust and safety, or legal reasons. 6. Payments, Fees, Payouts, Holds, and Processor Requirements Payments on the Services may be processed by third-party providers, including Stripe and related service providers. By using payment-enabled features, you agree to comply with the terms, requirements, and restrictions of those providers. Pedestal may charge platform fees, commissions, processing-related fees, or other disclosed fees in connection with the Services. Pedestal may: - place holds, reserves, or payout delays; - reverse, cancel, or refuse transactions; - suspend or disable monetization; - require additional verification or documentation; - restrict categories, listings, or transactions that create legal, fraud, chargeback, processor, or compliance risk. Pedestal is not obligated to release funds where a transaction is disputed, suspicious, reversed, restricted, noncompliant, or otherwise presents risk to the platform, users, or service providers. 7. Creator Content and Limited Platform License You retain ownership of the content you create and upload, subject to the rights you grant in these Terms. By uploading, posting, listing, submitting, displaying, transmitting, or otherwise making content available through the Services, you grant Pedestal a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, process, adapt, format, display, perform, distribute, publish, and use that content solely as reasonably necessary to operate, secure, improve, moderate, promote, and enforce the Services. This license includes the right to: - display your content on your creator page, storefront, subscriptions, previews, feeds, and related platform surfaces; - create thumbnails, previews, excerpts, and platform-compatible formatting; - review and scan content for safety, moderation, fraud, policy, and legal compliance; - use creator names, handles, public-facing avatars, public listing information, and public content to market or promote the Services. You represent and warrant that you have all rights necessary to grant this license. 8. Intellectual Property You may not upload, post, sell, distribute, transmit, monetize, or otherwise use content through the Services unless you have all rights, permissions, licenses, releases, and authority necessary to do so. Without limitation, you may not: - sell or distribute infringing, pirated, leaked, unauthorized, or stolen content; - use another person’s name, likeness, image, voice, identity, or branding without authorization; - offer counterfeit goods or misleadingly branded goods; - sell fan art, derivative works, adapted characters, stories, or other protected material unless you have the legal right to do so; - commercialize content based on intellectual property you do not own or have permission to use. Pedestal may remove, disable, restrict, or refuse any content, listing, account, or transaction that appears to infringe intellectual property rights or create rights-clearance risk. 9. Limited Enforcement Assistance for Creators Pedestal may, but is not obligated to, assist creators in addressing unauthorized copying, reposting, scraping, resale, impersonation, infringement, or misuse of creator content on or off the Services. By uploading content to the Services, you authorize Pedestal, on a non-exclusive and revocable basis, to take reasonable platform-protective steps related to misuse of that content, including: - sending takedown notices or infringement complaints; - contacting marketplaces, hosts, platforms, or service providers; - reporting misuse to payment processors or service providers; - preserving records relevant to misuse or infringement; - disabling access to content, accounts, sessions, devices, or listings associated with suspected abuse. This authorization does not obligate Pedestal to pursue any claim, and creators remain primarily responsible for enforcing their own rights unless otherwise agreed in writing. 10. Digital Products, Subscriptions, Commissions, and Physical Goods Creators may offer digital products, subscriptions, commission-based work, or physical goods through the Services where permitted. Creators are solely responsible for: - accurately describing what is being sold; - delivering what was promised; - honoring lawful obligations applicable to their offerings; - fulfilling commissions and physical goods as described; - making clear any delivery conditions, production times, or access rules. Unless otherwise required by law or expressly stated in platform policy: - digital goods, unlocked digital access, and subscription charges may be nonrefundable once access has been provided; - commission and custom work disputes may depend on the stage of work, delivery, and platform records; - physical goods may be subject to shipping confirmation, delivery confirmation, risk review, or additional payout conditions. 11. Messaging, Community, and User Interactions The Services may include messaging, communities, commission discussions, subscriber interactions, and related communication tools. Pedestal may monitor, review, preserve, restrict, or disclose communications as permitted by law and as reasonably necessary for moderation, safety, fraud prevention, legal compliance, or enforcement. You are solely responsible for your interactions with other users. Pedestal does not guarantee the identity, honesty, quality, legality, delivery, or performance of any user or listing. 12. Third-Party Services The Services may include integrations, links, tools, login providers, hosting services, analytics providers, payment processors, or other third-party services. Pedestal does not control and is not responsible for third-party services, content, policies, availability, or practices. Your use of third-party services may be subject to separate terms and policies. 13. DMCA and Intellectual Property Complaints If you believe content on the Services infringes your copyright or other intellectual property rights, you may send a notice to support@pedestalstud.io with sufficient detail for us to investigate. Pedestal may: - remove or disable access to allegedly infringing content; - request additional information; - notify the affected user; - terminate repeat infringers or users who repeatedly create rights-clearance risk; - preserve records and cooperate with affected rights holders or lawful authorities. Pedestal may also provide a counter-notice process where appropriate. 14. Moderation and Enforcement Pedestal may use manual review and automated systems to detect, review, investigate, and act on content and conduct that may violate these Terms, our policies, or applicable law. We may take any enforcement action we deem appropriate, including: - refusing uploads, listings, or transactions; - removing or disabling content; - restricting reach, messaging, storefront access, or monetization; - issuing warnings or requiring corrective action; - delaying, holding, reversing, or denying payouts or transactions; - requiring verification or supporting documentation; - suspending or terminating accounts; - blocking devices, sessions, IPs, payment methods, or related linked accounts; - preserving records and cooperating with processors, rights holders, regulators, or law enforcement. We may act with or without prior notice. 15. Termination You may stop using the Services at any time. Pedestal may suspend, restrict, or terminate your access to all or part of the Services at any time, with or without notice, if: - you violate these Terms or any incorporated policy; - your conduct creates legal, fraud, payment, chargeback, security, reputational, or operational risk; - we are required to do so by law, processor rules, service provider requirements, or regulatory obligations; - continued access is no longer commercially or operationally feasible. Upon termination, provisions that by their nature should survive will survive, including intellectual property, payment obligations, indemnification, disclaimers, limitations of liability, enforcement, disputes, and accrued rights or remedies. 16. Disclaimers THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, TO THE MAXIMUM EXTENT PERMITTED BY LAW. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEDESTAL DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT. PEDESTAL DOES NOT WARRANT THAT: - THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; - ANY CONTENT OR LISTING WILL BE LAWFUL, ACCURATE, COMPLETE, OR RELIABLE; - ANY TRANSACTION WILL BE COMPLETED OR PAID OUT; - ANY USER WILL ACT LAWFULLY OR AS PROMISED. 17. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEDESTAL STUDIO INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR CONTENT, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF PEDESTAL FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: - ONE HUNDRED U.S. DOLLARS (US $100); OR - THE TOTAL AMOUNT OF PLATFORM FEES ACTUALLY PAID BY YOU TO PEDESTAL IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. 18. Indemnification You agree to defend, indemnify, and hold harmless Pedestal Studio Inc., its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, demands, actions, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to: - your content, listings, storefront, subscriptions, commissions, products, services, or messages; - your use of the Services; - your breach of these Terms or any incorporated policy; - your violation of any law or third-party right; - any allegation that your content, goods, services, or activity infringes or misappropriates any intellectual property, privacy, publicity, or other right; - any dispute between you and another user or third party. Pedestal reserves the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with that defense. 19. Informal Dispute Resolution; Governing Law; Venue Before filing a lawsuit, the party asserting the dispute must provide written notice describing the dispute and the requested relief. The parties will attempt in good faith to resolve the dispute informally for thirty (30) days from receipt of notice before filing a court action, unless immediate relief is necessary. This informal resolution requirement does not apply to claims seeking temporary, preliminary, or permanent injunctive relief, or to claims involving: - scraping, crawling, data harvesting, or unauthorized automated access; - AI training or unauthorized machine-learning use of content or data; - intellectual property infringement or misuse; - confidentiality, security, fraud, or payment abuse; - unauthorized access, impersonation, or platform evasion; - emergency safety issues. These Terms and any dispute arising out of or related to them or the Services are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Except for matters that may be brought in small claims court where jurisdiction is proper, any legal action arising out of or relating to these Terms or the Services must be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of those courts. In any action to enforce these Terms, the prevailing party will be entitled to recover its reasonable attorneys’ fees and costs to the extent permitted by applicable law. 20. Changes to the Terms We may update these Terms from time to time. Updated Terms become effective when posted unless a different effective date is stated. By continuing to access or use the Services after updated Terms become effective, you agree to the revised Terms. If you do not agree to the revised Terms, you must stop using the Services. 21. General Terms These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and Pedestal regarding the Services and supersede prior or contemporaneous understandings relating to the subject matter. If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Pedestal’s failure to enforce any provision is not a waiver of any right. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law. 22.
